Terms of Use and Terms of Sale

These Terms of Use and Terms of Sale (“Terms”) govern your access to and use of the website located at arialabs.io (the “Website”), and your purchase and download of software, applications, plugins, digital products, and related products and services offered by Aria Labs, Inc. (“Aria Labs,” “we,” “us,” or “our”).
By accessing the Website, purchasing a product, downloading software, or otherwise using our products or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any applicable End User License Agreement (“EULA”).
If you do not agree to these Terms, do not use the Website, purchase, download, install, or use our software.
1. About Aria Labs
Aria Labs, Inc. is a Delaware corporation that develops and distributes music creation and production software, including standalone applications, plugins, games, creative tools, and other digital products.
Our products are designed for use in music creation and production workflows, including as standalone applications and as plugins or tools used with compatible digital audio workstations (“DAWs”) and other third-party software.

2. Eligibility
You must have the legal capacity to enter into a binding agreement to purchase or use our products.
If you purchase or use our products on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
If you are not legally permitted to enter into these Terms, you may not purchase or use our products.
3. Software Products
Aria Labs may offer downloadable software for macOS, Windows, or other supported platforms.
Products may include:
- Standalone music creation applications
- Audio or music production plugins
- Software designed to integrate with DAWs
- Creative music production tools
- Games and interactive music products
- Related digital products
Product descriptions, system requirements, supported operating systems, supported plugin formats, compatibility information, and other technical requirements may be provided on the applicable product page.
You are responsible for confirming that your computer, operating system, DAW, hardware, and other software meet the applicable requirements before purchasing a product.
4. Purchases and Payment
Prices are displayed in United States dollars (USD) unless otherwise indicated.
Purchases made through arialabs.io are processed using third-party payment processing services, including Stripe.
You agree to provide accurate and complete payment and billing information and authorize the applicable payment processor to charge the purchase price and any applicable taxes or fees to your selected payment method.
Aria Labs does not directly receive or store your complete payment card information.
Prices may change at any time. A price change will not affect a purchase that has already been completed.
5. Taxes
You are responsible for any sales, use, value-added, goods and services, withholding, or similar taxes applicable to your purchase, except for taxes imposed directly on Aria Labs’ income.
Where required by applicable law, taxes may be calculated and collected as part of the purchase transaction.
6. Digital Delivery
Our software is delivered digitally.
Following successful payment, you may be provided with access to a webpage containing a temporary or expiring download link. We may also send information associated with your purchase, including a license key, activation key, download instructions, or other licensing credentials, to the email address associated with your purchase.
Download links may expire.
You are responsible for:
- Providing a valid email address
- Downloading the purchased software within the available download period
- Safeguarding your license key and licensing credentials
- Maintaining appropriate backups of downloaded installers where permitted
If you experience a legitimate problem accessing a purchased download, contact help@arialabs.io.
7. Software License — Not a Sale of Ownership
Purchasing Aria Labs software does not transfer ownership of the software or its underlying intellectual property to you.
Your purchase provides you with a limited license to use the applicable software in accordance with the EULA provided by Aria Labs.
Unless otherwise expressly stated for a particular product, a standard individual license permits installation and use on one (1) compatible computer at a time.
All rights not expressly granted to you are reserved by Aria Labs and its licensors.
8. License Keys and Activation
Certain products may require a license key, activation code, account credential, or other authorization mechanism.
License keys are personal to the purchaser or licensed user and may not be sold, transferred, published, shared, sublicensed, rented, or distributed except where Aria Labs expressly permits a transfer in writing or applicable law requires otherwise.
Aria Labs may use reasonable technical measures to prevent unauthorized use, copying, or distribution of its software.
Circumventing or attempting to circumvent licensing, activation, copy-protection, or other technological protection measures is prohibited except to the extent such restriction is prohibited by applicable law.
9. Refunds
Because our products consist of digitally delivered software and license keys that may become usable immediately after purchase, we generally offer a 7-day refund window from the date of purchase, except where otherwise required by applicable law or expressly stated in a product-specific refund policy.
Outside of the 7-day window, a refund may still be granted if the product is unused and undownloaded and the license key has not been used or activated. In other words, once the software has been downloaded or the license key has been used, the 7-day window applies and all sales are final after that period expires, except where required by applicable law.
To request a refund, contact help@arialabs.io with your order email and license key. We may verify download and license activation status before approving a refund. Approved refunds are returned to the original payment method.
If a purchased product is materially defective or cannot reasonably be used as described because of a technical problem with the software, please contact help@arialabs.io. We may attempt to resolve the issue through troubleshooting, replacement files, updates, or another reasonable solution.
Nothing in these Terms limits any refund, cancellation, warranty, or consumer protection rights that cannot legally be waived in your jurisdiction.
10. Updates and Compatibility
Aria Labs may, but is not obligated to, provide updates, patches, bug fixes, compatibility updates, improvements, or new versions of its software.
Unless expressly stated otherwise, purchasing a product does not guarantee access to future major versions, upgrades, expansions, or separately released products.
Operating systems, DAWs, plugin standards, third-party software, and computer hardware change over time. We do not guarantee that a product will remain compatible indefinitely with future versions of third-party software, operating systems, or hardware.
11. Third-Party Software and Services
Our products may interact with or depend upon third-party operating systems, DAWs, plugin formats, software, hardware, frameworks, services, or technologies.
Aria Labs does not control third-party products and is not responsible for changes, discontinuation, incompatibilities, errors, or other issues caused by third-party products or services.
References to third-party products or trademarks do not imply endorsement, sponsorship, or affiliation unless expressly stated.
12. Intellectual Property
The Website, software, plugins, applications, graphics, interfaces, designs, source code, object code, algorithms, audio-visual elements, documentation, branding, logos, product names, and other materials made available by Aria Labs are owned by or licensed to Aria Labs and are protected by copyright, trademark, trade secret, and other intellectual property laws.
Except for the limited rights expressly granted under these Terms and the applicable EULA, no right, title, or interest in any Aria Labs intellectual property is transferred to you.
13. Your Music and Creative Output
Except for any Aria Labs intellectual property incorporated into the software itself, Aria Labs does not claim ownership of original music or other original creative works that you create using our software.
Subject to these Terms, the applicable EULA, and any separate terms applicable to third-party or licensed content included with a particular product, you may use original musical works you create using our software for personal or commercial purposes.
This provision does not grant you ownership of, or the right to redistribute, the Aria Labs software itself or any underlying proprietary software components.
If a particular product contains sound libraries, samples, loops, presets, or other licensed content subject to additional restrictions, those restrictions will be disclosed separately.
14. Acceptable Use
You may not use the Website or our products to:
- Violate applicable law
- Infringe another person’s intellectual property or other legal rights
- Distribute malware or malicious code
- Interfere with the security or operation of our Website or services
- Fraudulently obtain products, licenses, refunds, or access
- Circumvent licensing or security systems
- Resell or distribute license keys without authorization
- Attempt to gain unauthorized access to systems operated by Aria Labs or its service providers
15. Website Availability
We may modify, suspend, discontinue, or restrict access to any portion of the Website at any time.
We do not guarantee that the Website, checkout process, download infrastructure, or other online services will be continuously available or error-free.
Temporary interruptions do not affect an otherwise valid software license already granted to you.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, SOFTWARE, AND RELATED PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ARIA LABS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ARIA LABS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, COMPATIBLE WITH EVERY HARDWARE OR SOFTWARE CONFIGURATION, OR SUITABLE FOR EVERY PARTICULAR MUSIC PRODUCTION WORKFLOW.
Some jurisdictions do not permit certain warranty exclusions, so some of these exclusions may not apply to you.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARIA LABS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, MUSIC PROJECTS, RECORDINGS, OR OTHER DIGITAL CONTENT ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SOFTWARE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARIA LABS’ TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PRODUCT, THESE TERMS, OR YOUR USE OF THE WEBSITE WILL NOT EXCEED THE AMOUNT YOU PAID TO ARIA LABS FOR THE PRODUCT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
18. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Aria Labs and its officers, directors, employees, affiliates, and agents from claims, damages, liabilities, losses, and reasonable costs arising from your unlawful use of our Website or software, your material violation of these Terms, or your infringement of the rights of another person.
19. Termination
We may terminate or suspend your right to access our Website or use a software license if you materially violate these Terms or the applicable EULA, subject to applicable law.
Upon termination of a software license, you must discontinue use of and delete all copies of the applicable software in your possession or control.
Sections that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitation of liability, and governing law, will survive termination.
20. Privacy
Our collection and use of information is governed by the Aria Labs Privacy Notice, available through arialabs.io.
21. Changes to These Terms
We may update these Terms periodically to reflect changes to our products, business practices, or applicable law.
Any revised Terms will become effective when posted or on the effective date identified in the revised Terms.
Changes will not retroactively alter the essential license rights associated with software you previously purchased unless required by law or agreed to by you.
22. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except to the extent that applicable consumer protection law requires otherwise.
Any dispute arising out of or relating to these Terms, the Website, or our products will be subject to the jurisdiction of the state and federal courts having jurisdiction in Delaware, except where applicable law gives you the right to bring a claim in another jurisdiction.
23. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
24. Entire Agreement
These Terms, the applicable EULA, our Privacy Notice, and any product-specific terms presented at the time of purchase constitute the agreement between you and Aria Labs regarding your purchase and use of the applicable products.
If a conflict exists between these Terms and a product-specific EULA regarding use of the software, the EULA will control with respect to the software license.
