End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("you" or "Licensee") and Aria Labs, Inc. ("Aria Labs," "we," "us," or "our") governing your download, installation, and use of software made available by Aria Labs, including standalone applications, plugins, music production software, related components, updates, and accompanying documentation (collectively, the "Software").
PLEASE READ THIS EULA CAREFULLY.
BY PURCHASING, DOWNLOADING, INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA.
IF YOU DO NOT AGREE TO THIS EULA, DO NOT DOWNLOAD, INSTALL, ACTIVATE, OR USE THE SOFTWARE.
1. Ownership
The Software is licensed, not sold.
Aria Labs and its licensors retain all right, title, and interest in and to the Software, including all copyrights, trademarks, trade secrets, source code, object code, designs, algorithms, interfaces, graphics, documentation, and other intellectual property associated with the Software.
Your purchase grants you only the limited rights expressly described in this EULA.
2. License Grant
Subject to your payment of the applicable purchase price and continued compliance with this EULA, Aria Labs grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to download, install, activate, and use the Software.
Unless otherwise expressly stated for a particular product or license:
- Your license permits installation and use of the Software on one (1) compatible computer at a time.
- The license may be used on either a supported Mac or Windows PC where the purchased Software supports that platform.
- The license is intended for use by the individual or entity that purchased the Software.
- The license is perpetual unless terminated in accordance with this EULA.
- No ownership interest in the Software is transferred to you.
3. Permitted Use
You may use the Software:
- As a standalone music creation or production application;
- As a compatible plugin within a supported DAW;
- As part of your personal music creation workflow;
- As part of a professional or commercial music production workflow; and
- To create original musical works and other creative output.
Subject to any separately disclosed restrictions applicable to included third-party content, samples, presets, loops, or other licensed materials, Aria Labs does not claim ownership of original music you create using the Software.
You may commercially release, distribute, perform, stream, license, monetize, or otherwise exploit original music you create using the Software.
4. Device Limitation
A standard license permits the Software to be installed and activated on one (1) computer at a time unless the applicable product description or license expressly states otherwise.
You may not use a single license simultaneously on multiple computers.
If you replace your computer or need to transfer an activation to another computer, Aria Labs may require you to deactivate the previous installation or contact us to reset or transfer the activation.
Reasonable requests relating to replacement, loss, failure, or upgrade of a licensed computer may be submitted to help@arialabs.io.
5. License Keys
The Software may require a license key, activation key, authorization file, account credential, or other licensing mechanism.
Your license credentials are confidential and are provided solely to authorize your permitted use of the Software.
You may not:
- Publish a license key;
- Share a license key with another person;
- Sell or sublicense a license key;
- Upload a license key to a public or private software repository;
- Use the same license simultaneously on more computers than permitted; or
- Circumvent or attempt to defeat the Software's licensing or activation mechanisms.
6. No Redistribution
You may not copy, distribute, publish, upload, sell, resell, rent, lease, lend, sublicense, share, host, transmit, or otherwise redistribute the Software or any portion of it to another person or entity except as expressly authorized by Aria Labs in writing or as required by applicable law.
You may not make the Software available through:
- File-sharing services;
- Torrent or peer-to-peer networks;
- Software repositories;
- Cloud drives for use by other persons;
- Download websites;
- Bundled software packages; or
- Any other distribution mechanism.
Making a reasonable backup copy solely for your own archival or disaster-recovery purposes is permitted where allowed by applicable law, provided the backup is not used to circumvent the one-computer license restriction.
7. No Reverse Engineering
Except to the extent expressly permitted by applicable law notwithstanding this restriction, you may not:
- Reverse engineer the Software;
- Decompile the Software;
- Disassemble the Software;
- Attempt to derive or discover source code;
- Decode or decrypt protected components;
- Modify or create derivative works based upon the Software;
- Circumvent licensing or technological protection measures;
- Remove or alter copyright, trademark, proprietary, or attribution notices; or
- Use technical analysis of the Software to create or assist in creating a substantially similar or competing product.
Nothing in this section restricts rights that cannot legally be restricted under applicable law.
8. No Transfer or Sublicensing
Unless Aria Labs expressly permits otherwise in writing, your license may not be transferred, assigned, sold, sublicensed, rented, leased, or otherwise provided to another person.
Any attempted unauthorized transfer is void to the extent permitted by applicable law.
9. Restrictions on Commercial Exploitation of the Software
Your license permits commercial use of music and original creative works you create using the Software.
It does not permit commercial exploitation of the Software itself.
For example, you may use the Software to produce a commercially released song, album, soundtrack, recording, or other original work, but you may not:
- Resell the Software;
- Incorporate the Software itself into another software product;
- Offer access to the Software as a hosted software service;
- White-label the Software;
- License the Software to third parties; or
- Extract and redistribute proprietary Software components.
10. Third-Party Components
The Software may include or interact with third-party software, frameworks, libraries, operating systems, DAWs, plugin standards, or other technologies.
Third-party components may be subject to separate license terms.
Nothing in this EULA grants you rights to third-party software beyond the rights provided by the applicable third party.
11. Updates
Aria Labs may provide updates, patches, bug fixes, compatibility updates, or other modifications to the Software.
Unless accompanied by separate terms, updates provided for the Software are considered part of the Software and are governed by this EULA.
Your purchase does not guarantee access to future major versions, paid upgrades, expansions, or separately released products.
12. Compatibility
You are responsible for ensuring that your hardware, operating system, DAW, plugin format, and other software meet the system requirements specified for the Software.
Aria Labs does not guarantee compatibility with every DAW, operating system, hardware configuration, plugin host, or future version of third-party software.
Changes made by Apple, Microsoft, DAW developers, plugin-standard providers, hardware manufacturers, or other third parties may affect compatibility.
13. Feedback
If you voluntarily provide ideas, suggestions, feedback, bug reports, or recommendations concerning the Software, you grant Aria Labs the right to use that feedback without restriction or compensation to you.
This does not grant Aria Labs ownership of music or other original creative works you create using the Software.
14. Termination
This EULA remains effective until terminated.
Your rights under this EULA automatically terminate if you materially violate its terms and fail to cure the violation where a cure is required by applicable law.
Aria Labs may also terminate your license where permitted by law if you:
- Redistribute the Software without authorization;
- Share, sell, or unlawfully distribute license keys;
- Circumvent licensing or activation systems;
- Reverse engineer the Software in violation of this EULA; or
- Otherwise materially violate the license restrictions contained herein.
Upon termination, you must immediately:
- Stop using the Software;
- Uninstall the Software; and
- Delete all copies of the Software in your possession or control, except copies you are legally required to retain.
Termination does not entitle you to a refund except where required by applicable law.
Sections concerning ownership, intellectual property, restrictions, disclaimers, limitation of liability, and governing law survive termination to the extent applicable.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND.
ARIA LABS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND COMPATIBILITY.
ARIA LABS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, OPERATE WITHOUT INTERRUPTION, WORK WITH EVERY HARDWARE OR SOFTWARE CONFIGURATION, OR REMAIN COMPATIBLE WITH FUTURE OPERATING SYSTEMS, DAWS, PLUGIN HOSTS, OR THIRD-PARTY SOFTWARE.
Nothing in this EULA excludes warranties or consumer rights that cannot lawfully be excluded.
16. Backups and Music Projects
Music production software operates within complex environments involving DAWs, plugins, operating systems, hardware, project files, and other third-party components.
You are responsible for maintaining appropriate backups of your music projects, recordings, presets, settings, and other important data.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARIA LABS IS NOT RESPONSIBLE FOR LOST, CORRUPTED, DAMAGED, OR INACCESSIBLE MUSIC PROJECTS, RECORDINGS, FILES, PRESETS, OR OTHER DATA RESULTING FROM USE OF OR INABILITY TO USE THE SOFTWARE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARIA LABS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, DATA, MUSIC PROJECTS, RECORDINGS, CREATIVE WORK, OR GOODWILL ARISING FROM OR RELATING TO THE SOFTWARE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARIA LABS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.
18. Export and Legal Compliance
You may not use, export, re-export, transfer, or distribute the Software in violation of applicable United States export control, sanctions, or other applicable laws.
You represent that you will use the Software only for lawful purposes.
19. Privacy
Any information collected in connection with the Software is governed by the Aria Labs Privacy Notice, available at arialabs.io.
20. Governing Law and Jurisdiction
This EULA is governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles, except to the extent applicable consumer protection law requires otherwise.
Any dispute arising from or relating to this EULA or the Software will be subject to the jurisdiction of the state and federal courts having jurisdiction in Delaware, except where applicable law gives you the right to bring a claim in another jurisdiction.
21. Severability
If any provision of this EULA is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law and the remaining provisions will remain in full force and effect.
22. Waiver
Failure by Aria Labs to enforce any provision of this EULA does not constitute a waiver of that provision or any other right.
23. Entire Agreement
This EULA, together with the Aria Labs Terms of Use and Terms of Sale, Privacy Notice, and any applicable product-specific terms, constitutes the agreement between you and Aria Labs concerning your use of the Software.
If there is a conflict between this EULA and the general Terms of Use regarding your rights to install or use the Software, this EULA controls.
24. Changes to this EULA
Aria Labs may update this EULA from time to time.
Updates to this EULA will not retroactively materially reduce the perpetual license rights associated with Software you previously purchased unless required by applicable law or agreed to by you.
